Key Responsibilities:

1. Corporate Governance & Compliance:

Assist in ensuring compliance with Companies Act, SEBI regulations, and other corporate laws.
Maintain and update statutory registers, minutes, and records.
File necessary ROC (Registrar of Companies) forms and returns in a timely manner.

2. Board & Shareholder Meetings:

Prepare Board Meeting agendas, minutes, and resolutions.
Coordinate Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
Ensure proper documentation and filing of resolutions with regulatory authorities.

3. Regulatory Filings & Documentation:

Assist in drafting and reviewing corporate agreements, policies, and disclosures.
Handle regulatory filings related to MCA (Ministry of Corporate Affairs), RBI, SEBI, and stock exchanges (if applicable).
Monitor and update changes in corporate laws and regulations.

4. Liaison & Communication:

Coordinate with directors, auditors, legal advisors, and regulatory bodies.
Communicate with stakeholders, shareholders, and investors regarding company matters.
Assist in handling corporate governance and ESG (Environmental, Social, and Governance) reporting.

Qualifications & Skills:

Qualified Company Secretary (CS) from ICSI (Institute of Company Secretaries of India).
1-3 years of experience in corporate secretarial functions.

Strong knowledge of corporate laws, SEBI regulations, and compliance matters.
Excellent communication and drafting skills.
Proficiency in MS Office and legal software tools.
Ability to handle confidential information with integrity.

Preferred Qualifications:

Additional certification in Law (LLB) or Corporate Governance is a plus.
Experience in listed companies or financial services sector is preferred.
